Terms and Conditions

1. Acceptance of terms
By creating an account, signing in, submitting a brief, accepting a quote, making payment, applying as a creative, uploading work, using the AI brief assistant, using chat, or otherwise using Adshop, you agree to these Terms. Existing users must accept the current version before continuing to use protected platform features.
2. User roles
Adshop supports Clients, Creatives, Guests and Administrators. Clients submit briefs and pay for creative services. Creatives apply to join the curated network and may receive assignments after approval. Guests have limited access until they choose a role. Administrators manage briefs, assignments, payments, refunds, disputes, quality control and platform operations.
3. Briefs and quotes
A brief is a project request submitted through the platform. Adshop or an assigned creative may review the brief and prepare a quote. A project begins only when the relevant quote is accepted and required payment has been confirmed, unless Adshop agrees otherwise in writing. Work outside the agreed scope may require a revised quote.
4. Creative assignment
Adshop may assign briefs to a default creative, an internal team member, an approved creative or another production partner. Admins may reassign briefs. A default creative may also delegate or reassign briefs where authorized by Adshop. Assignment does not guarantee payment to a creative until the client payment and project terms are confirmed.
5. Payments
Clients may pay through payment methods enabled by Adshop, including mobile money, bank-linked payments, card payment, manual bank transfer or third-party payment providers. Payments are received, tracked and reconciled by Adshop unless otherwise stated. A project may not start, continue or release final files until required payment has been confirmed.
6. Refunds, recalls and disputes
Clients may request recall, refund review or dispute resolution through the platform where applicable. Refunds are not automatic. Adshop may consider project status, completed work, payment stage, client instructions, creative performance, communication records, agreed scope and platform policies. Adshop may approve full refunds, partial refunds, penalties, reassignment, correction work or rejection of a refund request.
7. Delivery and revisions
Creatives must deliver work according to the agreed scope, timeline and quality standards. Clients must provide timely feedback, approvals, brand materials and information required for delivery. Revision rounds are limited to the quote or project agreement unless Adshop agrees otherwise.
8. Preview and final release
Adshop may allow clients to preview deliverables before final files are released. Final files, editable source files, high-resolution assets and publication-ready materials may be withheld until payment obligations are satisfied. Use, publication, download or written approval of deliverables may be treated as acceptance of delivery.
9. AI-assisted briefing
Adshop may provide AI-assisted tools to help users create, refine or structure briefs. AI outputs are for assistance only and do not replace professional judgment, legal review, financial advice, brand approval or human quality control. Users are responsible for reviewing AI-generated content before use.
10. Gallery and portfolio rights
Creatives may upload work to their gallery subject to Adshop's visibility, permission and moderation rules. Client work may require client permission before public display. Adshop may keep private, client-only, pending-permission and public gallery states. Users must not upload or publish work they do not own or have permission to show.
11. Confidentiality
Users may receive confidential information, including briefs, strategies, budgets, campaign plans, business information, customer data, pricing, creative concepts or unpublished materials. Users must not disclose, misuse, sell, copy or exploit confidential information outside the agreed project purpose.
12. Intellectual property
Unless otherwise agreed in writing, ownership of final deliverables transfers to the client only after full payment is received and confirmed. Adshop and/or the creative may retain ownership of unpaid work, drafts, rejected concepts, internal processes, templates, methods, tools and pre-existing materials.
13. Anti-circumvention
Clients and creatives must not use Adshop to identify each other and then move projects, payments or communication outside the platform to avoid fees, controls, payment processing, dispute resolution or administrative oversight. Adshop may suspend accounts that attempt to bypass the platform.
14. Account security
Users are responsible for maintaining the confidentiality of login credentials and account access. Users must notify Adshop immediately if they suspect unauthorized account access. Adshop may restrict accounts where security, fraud, abuse or compliance risks arise.
15. Prohibited use
Users must not use Adshop for fraud, money laundering, impersonation, abuse, harassment, malware, unlawful scraping, infringement, manipulation of payments or reviews, discriminatory conduct, illegal briefs, or any activity that creates legal, reputational, financial or operational risk for Adshop.
16. Suspension and termination
Adshop may suspend, restrict or terminate accounts that breach these Terms, fail to pay, misuse the platform, provide false information, infringe rights, bypass the platform, abuse other users, or create unacceptable risk. Termination does not remove prior payment, confidentiality, intellectual property, dispute or liability obligations.
17. Platform availability
Adshop will make reasonable efforts to keep the platform available, but does not guarantee uninterrupted access. Downtime may occur due to maintenance, upgrades, hosting issues, internet failures, payment provider disruption, third-party service failures or circumstances beyond Adshop's reasonable control.
18. Limitation of liability
To the maximum extent permitted by law, Adshop will not be liable for indirect, incidental, consequential, punitive or special damages, including loss of profits, business, data or reputation. Adshop's total liability for a project claim shall not exceed the amount paid by the client to Adshop for that specific project, unless law requires otherwise.
19. Changes to terms
Adshop may update these Terms from time to time. Where terms are updated, users may be required to accept the new version before continuing to use protected platform features. Continued use after acceptance means you agree to the updated Terms.
20. Governing law
These Terms are governed by the laws of the Republic of Kenya. The parties shall first attempt to resolve disputes amicably. If unresolved, disputes may be referred to mediation, arbitration or courts of competent jurisdiction in Kenya, depending on the nature of the dispute and applicable agreement.
